Freelancer Agreement
Effective date
August 26, 2026
Version
1.0
1. Parties
This Freelancer Agreement (“Agreement”) is between Hitosetsu HR & Talent Acquisition (“Hitosetsu”, “we”, “us”) and the independent recruiter or talent partner who accepts it (“you”, “Freelancer”).
If a written mandate, email confirmation, or statement of work conflicts with this page, the written confirmation for that assignment prevails.
It governs applications submitted through Become a Recruiter and any later collaboration on Hitosetsu hiring mandates. Submitting an application does not by itself create a paid assignment. Specific roles, fees, and timelines are confirmed in writing before work begins.
2. Independent Contractor
You engage with Hitosetsu as an independent contractor, not as an employee, agent, partner, or joint venturer. Nothing in this Agreement creates an employment relationship or authority to bind Hitosetsu unless we expressly authorise it in writing.
- Your status you control how you source and screen within the brief we share, using your own tools, time, and methods, subject to professional and legal requirements.
- No employment benefits you are responsible for your own taxes, registrations, insurance, and statutory obligations arising from your freelance practice.
- No exclusivity unless a specific mandate says otherwise, this Agreement does not prevent you from working with other clients, provided you protect confidential information and avoid conflicts we have identified in writing.
3. Scope of Work
When Hitosetsu invites you onto a mandate, the work typically includes sourcing, screening, and presenting candidates aligned to the agreed role brief. You must represent Hitosetsu and client opportunities accurately, and you must not make promises about compensation, offers, or start dates that we have not authorised.
Assigned mandates
Work starts only after we confirm the role, market, expected deliverables, and any fee arrangement in writing.
Candidate handling
Share candidate information with Hitosetsu only where you have a lawful basis and the candidate understands it may be used for recruitment.
4. Fees & Confidentiality
Questions about a fee, a mandate, or candidate data should be raised with Hitosetsu before you act, so the assignment stays aligned for the client and the candidate.
Fees, if any, are payable only as agreed for a specific mandate and only if the related conditions (such as a successful placement) are met. Hitosetsu does not pay for unsolicited submissions that were not requested for an open brief.
- Confidential information client names, role details, compensation ranges, candidate data, and internal processes must be used only for the assigned work and must not be disclosed to unauthorised parties.
- Professional conduct you will not misrepresent your relationship with Hitosetsu, poach candidates or clients in breach of a written restriction, or submit fabricated or unauthorised candidate profiles.
- Data care you will handle personal data in line with applicable law and our Privacy Policy, and you will tell us promptly if you become aware of a data incident affecting information shared under this Agreement.
5. Term & Contact
This Agreement starts when you accept it (including by checking the acknowledgement on the recruiter application) and continues until either party ends the collaboration by written notice. Ending the Agreement does not cancel confidentiality duties or fee terms that already apply to a closed or in-progress mandate.
By accepting, you confirm that the information in your application is accurate and that you have read this Agreement. For questions, use the contact details below.
